NetCents Powers Purchase Potential with 40th Partner Agreement Signed

Following on the heels of NetCents’ 20th partner announcement in February, NetCents is pleased to announce the signing of its 40th partnership agreement. A doubling of its partners in such a short period of time reflects the Company’s aggressive trajectory to accelerate partner growth and keep pace with merchant adoption of cryptocurrency. This growth demonstrates the increased willingness of merchants to offer their customer bases alternatives to traditional payment methods by incorporating the NetCents cryptocurrency solution online, in-store, and integrated into their POS systems.

The Company’s Partners allows NetCents to access millions of merchants, hundreds of new partners, millions of users, and a sales force of thousands of agents who actively sell the NetCents cryptocurrency Merchant Gateway to their existing merchant base daily.

“We are already seeing the early success of our partner strategy come to fruition,” added Mr. Moore. “The Company has experienced an average 95% monthly increase in merchant signups since May in addition to an average of 39% increase in processing volume every month since February.”

To augment the Company’s Partnership Program, the Company has begun its Merchant Acquisition Plan (M.A.P.). The Company has brought in industry-leading veterans to develop, launch, and manage M.A.P. The goal of M.A.P. is to add 15-enterprise merchants that process over USD 20 million per year in sales with a monthly baseline of $100,000 cryptocurrency transactions.

The team advancing M.A.P. analyzes of tens of thousands of businesses across North America, Europe, and Australia ranking them against a scoring system, personalizing their outreach message by business or vertical, and launching an educational content program on their respective market trends and NetCents’ products and programs.

While the program launched less than a week ago, 287 merchants who fit the selection criteria have been outreached to with an initial 26% engagement rate. The campaign will continue to run through March 2020 with an additional 100 – 300 merchants added to the outreach queue weekly.

By continuing to drive mainstream interest and adoption via a multi-pronged approach, while increasing market and merchant share, cryptocurrency as a viable payment option is within reach.

NetCents Technology Announces Closing of a Non-Brokered Private Placement

(CSE:NC) (OTCQB:NTTCF) (Frankfurt: 26N) (“NetCents” or the “Company”) today announced the closing of a non-brokered private placement financing (the “Financing“) of 500,000 units of the Company (each, a “Unit“) at a price of CDN$0.45 per Unit, with each Unit being comprised of one common share of the Company (a “Common Share“) and one Common Share purchase warrant (each whole warrant, a “Warrant”), for total gross proceeds of CDN $225,000. Each Warrant is exercisable for one additional Common Share of the Company (each, a “Warrant Share“) at an exercise price of $0.55 per Warrant Share for a period of five (5) years.

The Common Shares and Warrants issued under the Financing, and the Warrant Shares issuable upon exercise of the Warrants, are subject to a hold period that expires on January 25, 2020.

The proceeds of the Financing are for the Company’s general working capital. In connection with the Offering, the Company may pay finder’s fees.

Dear Fellow Shareholders,

Since launch, we boldly engineered an approach that mitigated the risk and volatility for merchants and consumers to adopt a new transactional medium. We seamlessly integrated cryptocurrency processing while ensuring we motivated these two key groups, who along with you, are the pillars of our growth.

We knew to get early buy-in required a new level of protocols to protect against fraud and identification theft while meeting a regulatory discipline to maintain the integrity of our system. We created trust with consumers and a seamless and intuitive merchant terminal-enabled user experience for buying, selling and transacting with cryptocurrencies.

We’ve been aggressive over the past two-plus years building an agile merchant gateway network. And, as we always believed, “if we build it, they will come,” and come they have. Today, we’re being equally aggressive in what comes next.

By most key measures, NetCents’ Merchant Gateway has been a success. Transaction volume, average transaction value, processing volume, and new merchant sign-ups numbers tell a compelling story. In May, we announced an average 41% month-over-month increase in processing volume and a projected 40% monthly growth rate. We also projected we’d surpass a 2020 first calendar quarter with a CAD 2 million monthly processing volume. We’re on pace to reach this target based on 2019 processing rates.

August processing volume was 539% greater than February – taking us less than 5-days to surpass the entire previous month. It wasn’t an anomaly; it was a strategy. We now need to M.A.P (Merchant Acquisition Program) our next steps to encourage more merchant participation and greater consumer benefit.

In this latter half of 2019 and through 2020, NetCents will be taking a tailored three-pronged approach. First, we’re placing a relentless focus on sales and marketing; second, we anticipate launching a branded credit card and third, we’re cutting cost and creating ease for cross-border remittance.

Core to what we do is market our brand to enhance our sales funnel and build competitive advantage and market share. We’ve been driving awareness through online digital advertising and have powered 32 Partner agreements allowing integration to over 26-million terminals across worldwide merchants. We undertook trials in key cryptocurrency payment markets enabling a 30% lead to close and a 10% activation rate that in turn is driving monthly processing volumes.

Our sales approach is equally aggressive. Starting in September, our new top-tier internal sales team is tasked with adding 15 enterprise merchants that process over USD 20 million per year in sales with a monthly baseline of $100,000 cryptocurrency transactions. The team advancing M.A.P. offers an analysis of tens of thousands of businesses across North America, Europe, and Australia ranking them against a scoring system, personalizing their outreach message by business or vertical and launching an educational content program on their respective market trends and NetCents’ products and programs.

We’re also arming our sales team with an important tool. NetCents’ cryptocurrency credit card. Anticipated to launch in 2020 with Canadian NetCents customers, our credit card will enable worldwide access at over 40-million merchants offering Visa.

We believe this launch is a truly competitive feature of the NetCents offer. Unlike other credit cards, the NetCents Visa is not prepaid, does not require users to liquidate cryptos and it converts crypto or fiat spend on the spot. Use the card whenever, wherever, we take care of everything else.

NetCents Technology Signs its 50th Partnership Agreement

Agapay provides premium credit card processing services providing growing businesses credit card processing, e-commerce, and other electronic processing solutions for continuity of revenue and payment flows.

Over the last 24 months, the Company’s focus has been twofold. Firstly, it was to design, develop and build out the required technical infrastructure necessary to allow crypto-based payments to become mainstream. This resulted in the release of over 12 different significant upgrades and improvements to the NetCents Platform. Instant settlements, multiple terminal, Point of Sale (“POS”) & eCommerce integrations, Asset Management Platform, deployment of the Software as a Service (“SaaS”) based platform, crypto-banking stack and zero confirmation to name but a few. NetCents Technology Issues Q3 2019 Financial Statements, Increases Revenue

(CSE:NC) (OTCQB:NTTCF) (Frankfurt: 26N(“NetCents” or the “Company”) has released and filed its financial statements and MD&A for the nine months ended July 31, 2019. The Company is excited by these financial statements as they support what the Company has previously stated in its press releases over the summer months.

When looking at leading indicators for the Company’s growth, the Company have achieved the following growth between 2nd and 3rd quarter of fiscal 2019:

● Merchant processing revenue increased by 498% over Q2

● Processing volume increased by 360% over Q2

● Transactions increased by 296% over Q2

● Merchant sign ups increased by 121% over Q2

During the current fiscal year to date, the Company has recorded merchant processing revenue of $86,681. This is made up of merchant processing revenue of $10,826 during the three months ended January 31, 2019, $12,677 for the three months ended April 30, 2019, and $63,178 for the three months ended July 31, 2019.

The key drivers for the increase in revenue is that the number of transactions and processing volumes have both increased. This has resulted from the business development team driving new sales and partnership initiatives and demonstrating how simple it is to accept cryptocurrency as a form of payment. The Company has also attended several trade shows in new and upcoming industries, and we will be the merchant processing leader in these industries.

In addition to increasing the Company’s growth indicators, as outlined above, NetCents has decreased its operating costs by 46% for the nine-month period ended July 31, 2019 compared to July 31, 2018. The net loss of the company also decreased by 54% for the nine-month period ended July 31, 2019 when compared to July 31, 2018.

Between the increase in revenues and the Company’s growth indicators along with the corresponding decrease to our operating costs, the Company is in a strong position as it works towards its breakeven point, which should be obtained within a 24-month period.

Finally, the Company’s financial statements showed a cash and cash equivalents position of $2.21 million and net working capital of $759,000 as at July 31, 2019 compared to cash and cash equivalents of $54,000 and a working capital deficiency of $1.21 million at April 30, 2019, which shows that the Company is in a much better position to cover expenditures over the next period.

Since launch, we boldly engineered an approach that mitigated the risk and volatility for merchants and consumers to adopt a new transactional medium. We seamlessly integrated cryptocurrency processing while ensuring we motivated these two key groups, who along with you, are the pillars of our growth.

We knew to get early buy-in required a new level of protocols to protect against fraud and identification theft while meeting a regulatory discipline to maintain the integrity of our system. We created trust with consumers and a seamless and intuitive merchant terminal-enabled user experience for buying, selling and transacting with cryptocurrencies.

We’ve been aggressive over the past two-plus years building an agile merchant gateway network. And, as we always believed, “if we build it, they will come,” and come they have. Today, we’re being equally aggressive in what comes next.

By most key measures, NetCents’ Merchant Gateway has been a success. Transaction volume, average transaction value, processing volume, and new merchant sign-ups numbers tell a compelling story. In May, we announced an average 41% month-over-month increase in processing volume and a projected 40% monthly growth rate. We also projected we’d surpass a 2020 first calendar quarter with a CAD 2 million monthly processing volume. We’re on pace to reach this target based on 2019 processing rates.

August processing volume was 539% greater than February – taking us less than 5-days to surpass the entire previous month. It wasn’t an anomaly; it was a strategy. We now need to M.A.P (Merchant Acquisition Program) our next steps to encourage more merchant participation and greater consumer benefit.

In this latter half of 2019 and through 2020, NetCents will be taking a tailored three-pronged approach. First, we’re placing a relentless focus on sales and marketing; second, we anticipate launching a branded credit card and third, we’re cutting cost and creating ease for cross-border remittance.

Core to what we do is market our brand to enhance our sales funnel and build competitive advantage and market share. We’ve been driving awareness through online digital advertising and have powered 32 Partner agreements allowing integration to over 26-million terminals across worldwide merchants. We undertook trials in key cryptocurrency payment markets enabling a 30% lead to close and a 10% activation rate that in turn is driving monthly processing volumes.

Our sales approach is equally aggressive. Starting in September, our new top-tier internal sales team is tasked with adding 15 enterprise merchants that process over USD 20 million per year in sales with a monthly baseline of $100,000 cryptocurrency transactions. The team advancing M.A.P. offers an analysis of tens of thousands of businesses across North America, Europe, and Australia ranking them against a scoring system, personalizing their outreach message by business or vertical and launching an educational content program on their respective market trends and NetCents’ products and programs.

We’re also arming our sales team with an important tool. NetCents’ cryptocurrency credit card. Anticipated to launch in 2020 with Canadian NetCents customers, our credit card will enable worldwide access at over 40-million merchants offering Visa.
